These terms apply to products and services sold by Danese Srl and/or Calati S.n.c., unless otherwise agreed in writing. The actual seller is the company indicated in the quotation, order confirmation, proforma invoice, invoice or contract.
1. Scope
These General Terms of Sale apply to supplies of goods and services, including CALATI instruments and products presented on calati.online.
Any customer terms that differ from or add to these terms are not binding unless expressly accepted in writing by the seller.
2. Offers, proformas and orders
Offers and proforma invoices are valid for the period stated in the document; if no period is stated, validity is 15 days.
An order is accepted only upon written confirmation by the seller or when the supply has started.
3. Prices
Prices are those stated in the offer, proforma, order confirmation or contract.
VAT, duties, local taxes, customs clearance, packing and transport are borne by the customer unless otherwise agreed in writing.
4. Payment
Payment terms are those stated in the commercial documents.
Payment must be made within the agreed terms, without withholding, set-off or deductions not previously agreed.
In case of late payment, the seller may suspend ongoing supplies, refuse new orders and apply interest and recovery costs according to applicable law.
5. Delivery and Incoterms
Delivery times are indicative unless expressly confirmed in writing as binding terms.
The delivery term is the one stated in the commercial documents. If Incoterms are referred to, they are interpreted according to the version in force on the contract date.
Risk passes to the customer according to the agreed delivery term.
6. Goods inspection and claims
The customer must inspect the goods upon delivery. Visible non-conformities must be notified in writing within 8 days from delivery, with photos, videos and references to the commercial document.
If no claim is made within the above term, the goods are deemed accepted.
7. Technical tolerances
Technical products, spare parts, instruments, consumables and components may be subject to standard dimensional, construction or production tolerances.
8. Warranty
The warranty is the one provided by applicable law for B2B sales, unless otherwise agreed in writing.
Wear, consumables, improper use, incorrect installation, non-compliant maintenance, unauthorized modifications and use of non-approved spare parts are excluded.
In case of a defect covered by warranty, the seller may repair, replace or credit the value of the defective goods, after technical verification.
9. Returns
No return is accepted without written authorization. Returned goods must be properly packed and accompanied by complete documentation.
10. Limitation of liability
The seller is not liable for indirect or consequential damages, including plant stoppage, loss of profit, production loss or penalties claimed against the customer by third parties.
Total liability is limited to the value of the supply that generated the claim, except for mandatory legal limits.
11. Retention of title
Until full payment, ownership of the goods remains with the seller to the extent permitted by applicable law.
12. Force majeure
The seller is not liable for delay or non-performance caused by events beyond its control, including natural events, war, strikes, lack of materials, carrier delays, customs blocks, blackouts or authority measures.
13. Export, sanctions and compliance
The customer guarantees that use, final destination and resale of the goods comply with applicable laws, export control and sanctions. The seller may suspend or refuse supplies in case of compliance risk.
14. Intellectual property
Trademarks, drawings, documentation, manuals, software and know-how remain the property of their respective owners. Unauthorized reproduction or disclosure is prohibited.
15. Confidentiality and personal data
The parties shall keep technical and commercial information confidential. Personal data are processed according to applicable law, including GDPR where relevant.
16. Language, law and jurisdiction
In case of translations, the Italian version shall prevail unless otherwise agreed in writing. Italian law applies. Exclusive jurisdiction: Vicenza, Italy, unless otherwise agreed in writing.
